I think, the 1991 version of Foreman (from the Holyfield fight, right?) would be too big, strong and busy for James. He's likely to walk thru every counter Toney nails him with and will overwhelm him with heavier shots and workrate.
Toney is likely to, once again, withstand heavy shots of the bigger man (thanks to his defense and chin). But I remember, that Samuel Peter was buzzing and moving James when he was landing clean. Big George is likely to do the same.
But if we take George from, say, 1995 and beyond - Toney will have a better chance.

Toney could win a close decision. Even the fat HW version of him would be elusive enough against the Old George.

Toney slick defense should prevent him from stoppage and can make Foreman look bad at lot of moments. On the other side Foreman is just too big and too strong. I think Foreman would handle this something like 116-112

Foreman just too strong for Toney. He'd be moving Toney back with jabs and body punches. Toney would fire back with a lot, and may land as many shots as Foreman, but Foreman's would be the eye catching shots because that would move Toney backward, while Toney's shots would bounce off of George like a BB Gun firing at a Tank.

George Foreman would be too big and strong for heavyweight James Toney. That's too much weight for James. Foreman by knockout in 10.
