Shame it did not happen. Looking back, a rematch was probably never seriously going to happen because in beating Tyson, Douglas won the lottery, & lost motivation & interest therafter!
Shortly after the fight & when both guys were back in USA, they appeared on HBO, interviewed by Larry Merchant. Tyson pressed the issue of a rematch, but Douglas said he would explore all options before going with a rematch. I sense James wasn't really interested. After all, he had fullfilled a dram that hardly anyone thought would become a reality.
Tyson would have taken care of business in the rematch. I reckon Mike would have been highly motivated, properly trained, etc.

Tyson was just going through the motions in that fight. Drunk on fame and money I guess. The corner didn't even have an enswell, and were using a latex glove filled with cold water.

A couple of years ago I read a book about Tyson-Douglass (I think it was titled "The Last Great Fight")
In it, there was lots of discussion about a rematch. However, there was no way it was going to happen. I think the author was trying to state that after the first fight there were multiple law suits flying left and right over who would have the rights to the rematch, who would have the rights to the contracts, who would have the rights to promotion, what the percentage would be, who would represent the two boxers, etc...
Basically, the books stated that there were too many law suits so the fight would have been impossible to finalize. Why fight to make millions if that money could be caught up in the court system for years and the end result may be far less than what you thought in the first place?
