So Horn wants a 10 round fight with a rematch cluse for the fight with Tim to go ahead. Tim wants 12 rounds no rematch.

Not sure I agree. Is the fight a title fight. Why wouldn't Horns team want a ten rounder if it's to their fighters advantage.
Lots of contracts have rematch clauses and sometimes they work out well. Just ask Anthony Joshua or Jeff Horn. In the real world this is just a business negotiation so I don't see the joke.
In that context I don't blame Tszyu's team for wanting a twelve rounder for a non title fight.

Horn should just prepare. Tszuyu's team clearly want to do a 'one and done'.. fight him once, win/lose/draw move on.
Horn is already getting 60-40 in his favour. He thinks Tszuyu will do a Zerafa job on him.
Horn should be the more experienced, why not ahve a 12 rounder? He clearly isn't confident.
Tszuyu has been 10 round distance twice. Has been in two scheduled 12 rounders, but non gone past round 4.

I hate rematch clauses. This type of thing keeps others out of the title picture. You can have two fighters just fighting each other for years. It is a restraint of trade in my humble opinion.

Yeah I don't think much of rematch clauses either but two fighters fighting each other for years
. I still don't see the validation for Tszyu's demand for twelve round non title fights. Maybe a compromise is a ten rounder with no rematch clauses.
In other words a stock standard main event.

Still a lot of argy-bargy going on before this one is signed off from reading what was reported in the Daily Tele below:
The planned Jeff Horn-Tim Tszyu superfight is a major step closer to being finalised after a key sticking point was resolved.
Negotiations for the bout had stalled recently because Horn had demanded a rematch clause in the contract, while Tszyu did not.
But Horn has backtracked on his rematch demands, allowing the camps to move forward with talks for the multimillion dollar fight to take place in April.
“The rematch is fine, if they don’t want to do the rematch, I’m happy not doing a rematch,” Horn said in Sydney on Wednesday.
However, Horn will only agree to Tszyu’s demands for a 12-round fight if he gets more of the money, currently split 60-40 in his favour.
“There’s speed bumps in the road that are holding it up, we’re definitely not agreeing to a couple of things,” Horn said.
“He wants the fight to go 12 rounds. All I’ve got to say to that is, ‘That’s why I want to do 10 because he can pay me more to do 12 if he wants and we can do the 70-30 split’.
“Normally in the last few fights I’ve had, I’ve had a rematch clause because I’ve been the ‘A’ side.
“I’ve got the belts, he wants those ranking points, that’s why I wanted the rematch clause.
“I think there’ll be a breakthrough, I’m willing to do more rounds if he wants to make the split more, so he can have his way.”

Former WBO welterweight champion Jeff Horn is willing to to budge on one of the two negotiating points to finalize a deal to fight unbeaten rising star Tim Tszyu.
The two sides had agreed on a 60-40 split in terms of the money and they are targeting a date of April 18, in what would be the biggest clash on Australian soil in years.
But they were haggling on two items - Horn wanted a rematch clause and a ten round distance. Tszyu wanted no rematch clause and a twelve round distance.
Horn is willing to walk away from the rematch clause, but he's not going to budge on the contest being a twelve round bout - unless Tszyu's handlers offer up more money in his direction.
He is urging Tszyu to take the current terms to make the fight happen.
"If they want to make it a 12-rounder, they will have to pay me more," Horn said to WA Today. "If I was getting offered this type of fight at the stage of the career Tim is in, I’d be jumping at a 70-30 split. Even if it was 80-20, I’d be raring at the bit at trying to get it.
"I was exactly the same with Manny Pacquiao, I didn’t think about what money I was getting for that fight. I just took it. Tim Tszyu is going off his dad’s name as well. Certainly, I wouldn’t be asking for a lot more if he was in his position without his family history.
"People are excited about it. The majority of people expect me to lose, as normal. On social media, I read everywhere that they’re going for Tim, that I’m past it and that I’ll lose the fight. Horn is stupid. This is supposed to be a huge fight for Aussie and will most definately be a PPV fight. Should really be a 12 rounder IMO.
But Horn is now saying he'll drop the rematch clause (something he wanted and Tszyu didn't).

I heard Horn saying he is open to a 12 rounder but he wants a bigger slice of the purse. I must say i am surprised it's an agreed 60/40 split. I would've thought horn had a 70/30 split already. He is the man in the this fight and should Tim win the torch will be passed.
I also have no problem with Horn 's camp wanting a 10 rounder. There's no doubt in any one's mind Tim will be fresher going into rounds 10 - 12, so why not try and get the best for your fighter.
And again Jeff is giving Tim this opportunity, I see no issue in a rematch clause. As long as the first fight is competitive it will set up a blockbuster. I think Jeff's team is being realistic. Maybe Tim's team doesn't want to risk this twice should they get a victory, after Horn v Zerafa dual. However money talks - 70/30 split and we will probably have a fight.

I can't see what is so complicated. Horn's people are supposed to negotiate the best deal they can for their fighter. Horn struggled at the back end of the ten rounds with Zerafa, Why on earth would he want to fight twelve on a non title fight that would usually be expected to be a ten rounder. Have some people here forgotten why they call the eleventh and twelfth the championship rounds? Its because you fight them when your fighting for a championship. Horn and Tszyu arent fighting for a championship.
Saying to Tszyu that you can have your twelve rounds on a 70/30 split or you can fight the standard ten rounds of a main event and get 40% seems a perfectly reasonable offer. I agree with Amwsnw that a 40% split for Tszyu is a generous offer. He hasn't fought a fighter with a decent ranking let alone a Pac or a Crawford or anyone at even close to Zerafa's level.
Lets call a spade a spade, he has been promoted heavily by his promoter and fox based solely on his Dad's surname. Good luck to him and he has done well against the fighters he has fought but no one could say he has fought world class opposition. My advice to him would be to take the 40% and the ten rounds and concentrate on getting a win. Forty percent of this fight will be heaps more than he has ever earned and more than he will get for fighting anyone else. It will also give him a decent ranking and set him up for some more decent money fights.
