Woods was winning the fight over the first three rounds. In the 4th round, Payne hit Woods with a good body shot that led him to drop his right hand. Payne then shot over a punch that rocked Woods. Woods was now cut in his mouth and had a split nose, he recovered briefly to stage an attack, only to have Payne hurt him again, and send him to the canvas. Woods barely beat the ten count, rising as it was tolled. He was in bad shape and was knocked down twice more for nine counts. On the verge of being stopped, Woods shot a right hand that nailed Payne, which caused him to proceed with caution until the bell rang to end the 4th round.
Payne knocked Woods down for a fourth time in the 5th round. After surviving the 6th round, Woods roared back to win the 7th, 8th and 9th rounds. Woods boxed well in the 10th round, but as the bout was nearing it's conclusion, Payne landed a hay-maker that dropped Woods hard. He appeared to be out on the canvas, but the bell rang at four, ending the fight.
This was the first loss for Woods in 56 bouts.
