• Date: 1939-06-09
• Location: Coliseum, San Diego, California, USA
• Referee: Reggie Gilmore

Hogue floored Rainwater with a left hook to the body, that appeared to hurt Rainwater's back as he grabbed it and took a nine-count. Rainwater went down two more times from flurries, and the bout was stopped. Rainwater tried to walk off his back injury, but couldn't stay on his feet, and was helped to the dressing room by his corner.
