- Date: 1939-05-31
- Location: Auditorium, Oakland, California, USA

Nestell was dropped by a light right hand in the 1st round. Nestell recovered however, and fought a strong second round. In the 3rd round he floored Millich twice with right hands. On the second trip to the canvas, the bell rang with Millich still on the floor at the count of seven. Millich rose however at the bell, and stumbled to the wrong corner.
Nestell anxiously attempted to finish Millich in the 4th, but was unable to land another good right hand. The two boxers fought a slow and even 5th. In the 6th, Millich attacked Nestell and floored him for a six count with a flurry of blows. After he rose Nestell stuck out his chin, and dared him to hit him. Millich responded with a right hand that floored Nestell for the count. He was completely knocked out by the punch and was on the floor for at least a minute.
Millich was pulled over for speeding after the bout, while he was attempting to return home to Sacramento.
